i own shares in a non-public technology company that is incorporated in delaware, and i have had no update on the company’s progress in 4 years – what right do i have to demand information? (x-post from /r/legaladvice)

so i live in mainland europe, hopefully that isn’t important to the question.

I used to work for a firm whose parent company is incorporated in Delaware – I worked there for years until my options vested, purchased my shares and received a share certificate. within a year they wanted my signature on some documents to approve a relatively small dilution to accommodate a new investment. in the more than four years since i’ve had no update, so i don’t know:

  • how many shares are outstanding in the company
  • the financial performance of and outlook for the company
  • how many shares they perceive that i own

i know the firm is still trading and has at least some hope to be acquired – what legal right do i have to demand information here?
